Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Backgammoney mobile application and related services (together, the "Service"), and form a binding agreement between you and Alef Global Consulting FZ-LLC ("Backgammoney", "we", "us").

We are Alef Global Consulting FZ-LLC, a Free Zone Limited Liability Company registered in Ras Al Khaimah, United Arab Emirates (Services Licence No. 47029993), with its registered office at VUET2814, Compass Building, Al Hulaila Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates.

These Terms must be read together with our Privacy Policy, which explains how we collect, use and protect your personal data, and which forms an integral part of your agreement with us.

Please read these Terms carefully, including the disclaimer of warranties, the limitation of liability and, if you reside in the European Union or the EEA, the section on the right of withdrawal. By downloading, installing, accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

The Service offers the purchase of virtual tokens ("Backgammoney") with no real monetary value. See sections 11 and 12 below.

1. Eligibility

You may use the Service only if you:

• are at least 18 years old, or the age of legal majority in your jurisdiction if higher;
• have the legal capacity to enter into a binding contract with us;
• are not prevented from using the Service under the laws of your country of residence or any other applicable law; and
• are not, and are not owned or controlled by, a person or entity subject to sanctions or trade restrictions imposed by the United Nations, the European Union, the United Kingdom or the United States (including OFAC), and are not located in a country or territory subject to a comprehensive embargo under any of these regimes.

The Service is not intended for children. Upon registration, we ask you to confirm your date of birth or age range through a neutral verification step, as described in our Privacy Policy. This is not an identity check, but a reasonable measure to identify and exclude users who do not meet the minimum age requirement. If your conduct or the content you submit suggests that you are a minor, we may limit or suspend your access.

2. What Backgammoney is — and what it is not

Backgammoney is an online backgammon game, provided for entertainment purposes only. You play games, alone or against an opponent, and you may use virtual tokens called "Backgammoney" to stake on your own games within the game.

"Backgammoney" tokens have no real monetary value. They constitute a limited licence to use virtual content within the Service. They are not money, cannot be converted, exchanged, cashed out, redeemed for money, or transferred outside the Service, and cannot be sold or assigned to other users. See section 11.

The Service is not gambling. No game, stake or outcome allows you to win real money, a prize of monetary value, or anything convertible into money. Stakes and winnings are expressed exclusively in virtual tokens with no real value, for recreational purposes. The Service does not constitute, and must not be regarded as, a betting, casino or gambling service within the meaning of the law.

The Service may match you against either other users or automated opponents (computer systems). Matchmaking is automated (see section 3). We do not guarantee the presence of a human opponent for any given game, nor the skill level, identity or conduct of another player.

3. Automated systems, artificial intelligence and fairness of the dice

Some games, some opponents and player matchmaking within the Service rely on automated systems, which may include artificial intelligence, and not on a human participant. We inform you of this here and, where required by law, within the Service itself, in accordance with Article 50 of Regulation (EU) 2024/1689 (the "AI Act") and equivalent transparency requirements applicable in other jurisdictions.

Fairness of the dice ("provably fair"). The dice in the game are generated using a cryptographically secure random number generator (CSPRNG) and a verifiable fairness mechanism ("provably fair"): a cryptographic hash of the server seed is published before the game, and the corresponding seed is revealed at the end of the game, so that you can verify, directly in the application, that the dice rolls were not altered after the fact. This mechanism guarantees the integrity of the draw, but not any particular outcome: the randomness of the dice is inherent to the game of backgammon, and we do not guarantee any game outcome.

Rankings, level (Elo) and statistics are calculated automatically. We strive to keep them accurate but do not guarantee that they are error-free, nor that they match the results of any other software. Online play requires a connection to our servers; we cannot be held liable for a game, result, score or data being lost due to network interruption, outage, maintenance or third-party service failure (see sections 15, 16 and 19).

4. Changes to these Terms

We may revise these Terms from time to time, in particular to reflect changes to the Service, our practices or applicable law. In the event of a material change, we will notify you via the application or by any other reasonable means before it takes effect. Continued use of the Service after the effective date constitutes acceptance.

5. Right to use the Service and fair-play rules

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-assignable and non-transferable licence to access and use the Service for personal, non-commercial purposes, on a device you own or control.

This licence does not include, and you agree not to, directly or through a third party:

• use the Service for any unlawful purpose, or in any manner not authorised by these Terms;
• copy, modify, translate, create derivative works of, decompile, disassemble or reverse engineer any part of the Service, except to the extent such a restriction is prohibited by applicable law;
• rent, lend, sell, sublicense, distribute or otherwise make available to a third party the Service, your account or your tokens;
• cheat, or distort the game in any way: use bots, scripts, automation, assistance software, bugs or exploits; collude with another player; manipulate matchmaking, results, the ranking or the token balance;
• remove, obscure or alter any proprietary notice on the Service;
• circumvent, disable, tamper with or otherwise interfere with any security or access-control feature of the Service;
• access or attempt to access the Service by any means other than the interface we provide, including automated data extraction, scraping or the use of bots, scripts or other automated means;
• probe, scan or test the vulnerability of the Service, or bypass any security or authentication measure;
• use the Service, or any content generated by it, to develop, train or improve a competing product or any machine-learning or artificial-intelligence model;
• impersonate you or a third party, or misrepresent yourself as another person or entity;
• use the Service, in particular the chat, to transmit or publish content that is unlawful, defamatory, harassing, hateful, obscene, infringing, or that exploits or endangers a minor; or
• interfere with or disrupt the integrity or operation of the Service or the data it contains.

We may investigate and take appropriate action against anyone who, in our reasonable assessment, breaches this section, including voiding a game, correcting or removing tokens obtained unfairly, suspending or terminating access and, where required by law, reporting to the competent authorities.

6. Your content

You may submit to the Service information such as a first name or username, as well as chat messages addressed to other players or your friends ("Your Content"). You retain any rights you may have in Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce and use Your Content, solely to provide, maintain, secure and moderate the Service, and to comply with applicable law.

Chat messages are visible to the players to whom you address them. You warrant that Your Content does not infringe any third-party right and does not violate any applicable law. Do not transmit highly sensitive personal information about another identifiable individual. The chat is subject to moderation (filtering, blocking and reporting); we may, without being obliged to, review, filter, moderate or remove Your Content and restrict exchanges.

Account and username. You are responsible for the use of your account and, where applicable, for keeping your login credentials confidential (for example via Apple or Google). The username you choose is permanent and cannot be changed. We reserve the right to reclaim, hide or modify any username that breaches our rules, is misleading, offensive, or infringes third-party rights (in particular a trademark).

7. Intellectual property

The Service itself, together with all software, text, graphics, logos, trademarks and other content we provide (excluding Your Content), and all associated intellectual property rights, remain the exclusive property of Alef Global Consulting FZ-LLC or its licensors. Except for the limited licence granted in section 5, nothing in these Terms transfers any intellectual property right to you. "Backgammoney" and our logos are trademarks of Alef Global Consulting FZ-LLC; you may not use them without our prior written consent.

8. Feedback

If you send us ideas, suggestions or other feedback about the Service, you agree that it is provided on a non-confidential basis, and you grant us an irrevocable, perpetual, royalty-free licence to use it for any purpose, including to improve the Service, without any obligation or compensation to you.

9. Privacy

We process personal data in accordance with our Privacy Policy, which forms an integral part of these Terms and describes, in particular, the personal data we collect, the purposes and legal bases of processing, the recipients of your data, your rights, and how to exercise them.

10. Third-party services

The Service is distributed through, and relies on, the third-party platforms and providers listed below. Your use of these platforms is governed by their own terms and privacy policies, in addition to these Terms. We do not control third-party services and are not responsible for their availability, content or practices.

11. "Backgammoney" virtual tokens and purchases

Access to the Service is free. The Service makes available virtual tokens called "Backgammoney", usable only within the game.

• You may obtain tokens for free (for example a welcome bonus and a daily bonus) and/or purchase packs via an in-app purchase ("one-time purchase"), in the token amounts and at the prices displayed in the application store at the time of purchase, including taxes where applicable. These purchases are one-time purchases, with no automatic renewal and no expiry.
• "Backgammoney" tokens have no real monetary value. They cannot be converted, exchanged or cashed out for money, nor transferred, sold or assigned to a third party or another user. They are licensed for limited use within the Service and not sold. We may, to the extent permitted by law, modify, cap, withdraw or expire tokens, and change the packs, amounts and prices offered, in particular for reasons of security, compliance, fraud prevention, or evolution of the Service.
• All payments, currency conversions and refunds are handled exclusively by the app store from which you downloaded the application (Apple or Google), according to their respective terms. We do not process payments ourselves and do not issue refunds directly; any refund request must be addressed to the relevant app store.

Right of withdrawal (consumers in the European Union / EEA)

If you are a consumer residing in the European Union or the European Economic Area, you have a statutory right to withdraw from a purchase of digital content within 14 days, without giving any reason, in accordance with the Consumer Rights Directive (2011/83/EU) and its national implementing legislation.

However, tokens are digital content not supplied on a tangible medium, made available to you immediately upon purchase. Before completing the purchase, you will be asked to give your express consent to immediate performance (the immediate provision of the tokens) and to acknowledge that you will lose your right of withdrawal once the content is supplied. If you give this consent and acknowledgement, your right of withdrawal ends as soon as the tokens are made available, in accordance with Article 16(m) of Directive 2011/83/EU. If you do not give this consent, do not complete the purchase.

If you are entitled to withdraw and wish to exercise this right, contact us at contact@backgammoney.com within the applicable period; the actual processing of any refund remains governed by the policies of the relevant app store.

12. Account deletion

You may stop using the Service at any time. You may request the deletion of your account from within the application or by writing to us at contact@backgammoney.com. Deleting the account results in the permanent loss of the tokens associated with it; as tokens have no real monetary value, this loss does not give rise to any refund. Deleting the application from your device does not by itself delete your account or your server-side data.

13. Term, suspension and termination

These Terms remain in force for as long as you use the Service. We may suspend or terminate your access, in whole or in part, and/or remove tokens obtained unfairly, immediately and without notice, where required by law or where we reasonably believe that you have breached these Terms (in particular cheated or engaged in fraud), acted unlawfully, or created a risk or potential legal exposure for us or third parties. Where reasonably possible, we will inform you of the suspension or termination and its reason.

The sections of these Terms which, by their nature, must survive termination — in particular intellectual property, the disclaimer of warranties, the limitation of liability, indemnification, dispute resolution and general provisions — will continue to apply.

14. Reporting and removal of content

If you believe that content accessible via the Service (in particular a chat message) infringes your rights or is unlawful, notify us at contact@backgammoney.com, specifying: identification of the content concerned; a description of the right you claim is infringed; your contact details; and a good-faith statement that the use is not authorised. You may also report or block a player directly in the application. We will review such reports and remove or block access to the content where justified.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

Nothing in this section limits any warranty or statutory right applicable to digital content and digital services that cannot be excluded under the law of your country of residence, including any conformity guarantee under Directive (EU) 2019/770 on digital content and digital services or any equivalent legislation.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE, OUR OFFICERS, EMPLOYEES AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, VIRTUAL TOKENS OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO THE SERVICE OR YOUR USE OF OR INABILITY TO USE IT, WHATEVER THE LEGAL BASIS OF THE CLAIM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SUBJECT TO THE FOLLOWING PARAGRAPH, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY EUROS (€50).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, in particular liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or any statutory consumer right that cannot validly be excluded or limited, such as rights arising under Directive (EU) 2019/770 or any equivalent consumer-protection legislation applicable in your country of residence.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold Backgammoney, its officers, employees and licensors harmless from any claim, liability, damage, loss and expense, including reasonable legal fees, arising out of or related in any way to: (a) your breach of these Terms; (b) Your Content; or (c) your use of the Service in violation of applicable law or the rights of a third party. This section does not apply to the extent a claim arises from our own breach of these Terms, from our wilful misconduct or gross negligence, or to the extent it would be void under mandatory consumer-protection legislation applicable to you.

18. Export control and sanctions

The Service may be subject to export-control and economic-sanctions regulations, including those of the European Union, the United Kingdom, the United States and the United Arab Emirates. You represent that you are not located in a country or territory subject to a comprehensive embargo, and that you are not on any list of restricted or prohibited persons or entities maintained by these authorities. You agree not to use the Service in a way that would breach any applicable export-control or sanctions regulation.

19. Force majeure

Neither party shall be liable for any failure or delay in performance resulting from circumstances reasonably beyond its control, including acts of God, war, terrorism, civil unrest, government action, internet or telecommunications failures, or failures of a third-party platform or provider referred to in section 10.

20. Dispute resolution, governing law and jurisdiction

In the event of a dispute, please first contact us at contact@backgammoney.com so that we can try to resolve it amicably. We will use our best efforts, in good faith, to respond to you and reach an amicable resolution within a reasonable time.

These Terms, and any dispute arising out of or related to them or the Service, are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles, and the courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction, subject to the following paragraph.

Nothing in this section deprives a consumer residing in the European Union or the EEA of the protection of the mandatory provisions of the law of their country of residence, or of their right to bring proceedings before, or to be sued only before, the courts of that country, in accordance with Regulation (EU) No 1215/2012 (Brussels I bis) and Regulation (EC) No 593/2008 (Rome I). Consumers residing in the United Kingdom or the United States likewise retain the rights and protections granted to them by the mandatory law of their country, state or territory of residence. Where you do not qualify as a consumer within the meaning of these mandatory rules (for example, if you use the Service for professional purposes), the courts of Dubai shall have exclusive jurisdiction, and, at our discretion, any dispute may also be submitted to and finally resolved by arbitration, administered under the DIFC-LCIA Arbitration Rules or those of an equivalent institution, seated at the Dubai International Financial Centre, before a sole arbitrator, in the English language.

21. General provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreement on the same subject matter. You may not assign or transfer any right or obligation under these Terms without our prior written consent; we may assign or transfer ours, including in connection with a merger, acquisition or sale of assets, without affecting your rights under these Terms. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce a right or provision does not constitute a waiver of that right or provision. Notices to you may be given via the application, by email, or by posting on our website. These Terms are drafted in English; where a translation is provided for convenience, the English version prevails in the event of conflict, except where a different rule is mandatory under the law protecting you as a consumer.
